TERMS & CONDITIONS

To enhance the user experience of using MedBot, we have drafted a user agreement list that all users are to abide by during their use of MedBot.

1. Introduction
1.1 Contract
You agree that by clicking “Join Us”, “Claim Your Business”, or similarly, registering, accessing or using our platform (“platform” described below), you are agreeing to enter into a legally binding contract with MedBot (even if you are using our platform on behalf of a company). If you do not agree to this contract (“Contract” or “User Agreement”), do not click “Join Us” or “ “Claim Your Business” and do not access or otherwise use any of our services. If you wish to no longer by bound by this contract, kindly do so by terminating your account on our platform.

Platform
This Contract applies to <www.medbotconnection.com> and its offered features and services. Registered users of our platform are “users” and unregistered users are “visitors”. This Contract applies to both users and visitors.

MedBot
You are entering into this Contract with MedBot (also referred to as “users”, “we”, and “us”). We <www.medbotconnection.com> will have authorised and full access of acquired personal information through means of registration or any other methods of using our platform. Visitors and users of this platform will be subjected to this Privacy Policy and updates in full effect.

1.2 Users and Visitors
When you register and join MedBot, you will be recognised as user of MedBot. Otherwise, if you do not wish to register, but still wish to access our platform you will be recognised as “visitor”.

1.3 Change
The Contract and its Privacy Policy may be subjected to modification over time. If material changes are made, we will provide you with a notice through our platform, or by other means, to provide you the opportunity to review the changes before they become effective. We agree that changes cannot be retroactive. If a user does not agree with these conditions, they may choose to terminate their account. If you have been found to continue the use of our platform and its features after the update of policies have taken effect, then that automatically deems you as accepting the updated policies.

2. Obligations
2.1 Service Eligibility
MedBot services are not for use by anyone under the age of 16.

To use the services, you agree that:
  • you must be of “Minimum Age” (described below) or older.
  • you will only have one MedBot account which must be identical to your government name.
  • you are not already restricted by MedBot from using the services. Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or persons under the age of 16.
“Minimum Age” means 16 years old. In the case where the Minimum Age is higher, then MedBot cannot provide the user with access to its platform as well as access to its features. MedBot must abide by the federal and government law that dictates Minimum Age.

2.2 Your Account
Users are account holders. You agree to:
  • use a password that is not likely to be easy to figured out by others.
  • keep your password secure and confidential.
  • not transfer any part of your account.
  • follow the law and our list of what to do and what not to do. You will be held accountable for anything that happens to your account unless you close it or report a case of misuse.
A user’s account belongs only to the user. However, if your account is a sub-account initiated by a Company User Admin, the User Admin may refuse to grant you access to certain features that our platform offers.

2.3 Payment
We do not guarantee refunds.

If you buy any of our paid feature (“Premium Services”), you agree to pay us the applicable fees and taxes and to additional terms specific to the paid feature. Failure to pay these fees will result in the rejected access to those features. Also, you agree that:

Your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates).

We may store and continue billing your payment method (e.g. credit card) even after it has expired, to avoid interruptions in your features and to use to pay for other features you may buy.

If you purchase a subscription, your payment method automatically will be charged at the start of each subscription period for the fees and taxes applicable to that period. If a user wishes not to be continuously charged, then cancellation of the package should be made before the expiration of that premium feature. If that is the case you should learn how to cancel your Premium Features.

All of your purchases of Services are subject to MedBot’s refund policy.

Tax rates will be calculated based on billing information of a feature by a user when the feature has been purchased.

2.4 Notices and Messages
You accept our duty to provide notices and messages to you through our websites, and Profile Settings.

You must agree to be provided with notices and messages to you in the following ways:
  • on the platform itself.
  • sent to the user via their email, contact number or physical address. Thus you are advised to keep your contact information up to date and constantly checked upon for any changes.
Please review your settings to control and limit messages you receive from us.

2.5 Sharing
When users share their information on our platform, others can see, copy and use that information.

Our platform allows communication between businesses and sharing of personal information, such as your profile, links to news articles, new products, product launches, featured products/companies, and requests for quotations. Information and content that a user shares or posts may be seen by other users or visitors. Through the websites configuration and settings available, users are allowed to choose what information is made available for viewing by other viewers(e.g., message content to your addressees, sharing content only to MedBot connections, restricting your profile visibility from search engines, or opting not to notify others of your MedBot profile update).

We are not obligated to publish any information or content on our platform and can remove it if needed or if a decision is made to do so, with or without notice.

3. Rights and Limits
3.1 Your License to MedBot
A user is the sole owner of the content and information that they choose to submit or post to the platform, and they grant MedBot and its affiliates the following non-exclusive license:

A worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish, and process, information and content that a user provides through our features and the services of others, without any further consent, notice and/or compensation to them. These rights are limited in the following ways:
  1. A user is allowed to remove content that has been posted on the platform if they choose to, or generally by closing their account, except (a) to the extent they shared it with others as part of the feature and they copied, re-shared it or stored it and (b) for the reasonable time it takes to remove from backup and other systems.
  2. We will not include a user’s content in advertisements for the products and services of third parties to others without their consent (including sponsored content). However, we have the right, without payment to users, to serve ads next to a user’s content and information, and their posts, interactions with our platform may be visible and included with ads, as noted in the Privacy Policy.
  3. We will have to get a user’s consent in order to allow others the right to publish a user’s content beyond the features.
  4. MedBot may edit and make format changes to a user’s content (such as translation, modifying the size, layout or file type or removing metadata), MedBot shall not change the meaning of an expression.
  5. Due to the fact that a user’s information is theirs exclusively, it is up to them to decide whether or not that information is to be made available for viewing by others, including under the terms of a Creative Commons license.
Users and MedBot agree that we may access, store, process and use any information and personal data that they provide in accordance with the terms of the Privacy Policy and their choices (including settings).

By submitting suggestions or other feedback regarding our features to MedBot, users agree that MedBot can use and share (but does not have to) such feedback for any purpose without compensation to them.

Users agree to only provide content or information that does not violate the law nor anyone’s rights (including intellectual property rights). Users also agree that their profile information will be accurate and not false. MedBot may be required by law to remove certain information or content in certain countries due to difference in government and federal law.

3.2 Service Availability
MedBot is not a storage platform. Users agree that we are not required to store, copy, distribute any information of theirs or be it other user’s information unless the information is required by law and as noted in our Privacy Policy.

3.3 Other Content, Sites and Apps
By using the Services, users may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. MedBot generally does not review content provided by our users or others. Users agree that we are not responsible for others’ (including other users’) content or information. We are not able to prevent the misuse of our features, and users agree that we are not responsible for any such misuse.

3.4 Limits
MedBot reserves the right to limit your use of the platform, including the number of a user’s connections and their ability to contact other users. MedBot reserves the right to restrict, suspend, or terminate a user’s account if MedBot believes that they may be in breach of this Contract or law or are misusing the platform (e.g., violating any of the Dos and Don’ts).

3.5 Intellectual Property Rights
MedBot reserves all of its intellectual property rights in the features. Use of a feature or function on our platform does not give a user exclusive ownership or rights to claim any of them.This is also applicable to any information provided by us or others. Trademarks and logos used in connection with the features are the trademarks of their respective owners. MedBot and other MedBot trademarks, service marks, graphics, and logos used for our platform are trademarks or registered trademarks of MedBot.

3.6 Automated Processing
We will use the information and data that users provide and that we have about users to make recommendations for connections, content and features that may be useful to them. For example, we use data and information acquired from users to show other users featured companies/products. Keeping a user’s profile accurate and up-to-date helps us to make these recommendations more accurate and relevant.

4. Disclaimer and Limit of Liability
4.1 No Warranty
AS LONG AS THAT THE LAW IS ABIDED, MEDBOT, ITS AFFILIATES AS WELL AS ITS PARTNERS(A) CONTRAVENE ALL IMPLIED WARRANTIES AND REPRESENTATIONS (E.G. WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF DATA, AND NONINFRINGEMENT); (B) DO NOT PROVIDE ANY ASSURANCE THAT THE FEATURES AND FUNCTIONS WILL WORK IN ORDER WITHOUT INTERRUPTION OR ERRORS, AND (C) PROVIDE THE SERVICE (INCLUDING CONTENT AND INFORMATION) ON AN “IN ITS PRESENT” AND “AS SEEN” BASIS.

SOME COUNTRY’S LAWS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OR ALL OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

4.2 Exclusion of Liability
TO THE EXTENT PERMITTED UNDER LAW (AND UNLESS MEDBOT HAS ENTERED INTO A SEPARATE WRITTEN AGREEMENT THAT OVERRIDES THIS CONTRACT), MEDBOT AND ITS AFFILIATES (AND THOSE THAT MEDBOT WORKS WITH TO PROVIDE ITS SERVICES TO) WILL NOT CLAIM RESPONSIBILITY TO YOU OR OTHERS FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, OPPORTUNITIES, REPUTATION, PROFITS OR REVENUE, RELATED TO THE SERVICES (E.G. OFFENSIVE OR DEFAMATORY STATEMENTS, DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT).

IN NO EVENT SHALL THE LIABILITY OF MEDBOT AND ITS AFFILIATES (AND THOSE THAT MEDBOT WORKS WITH TO PROVIDE THE SERVICES) EXCEED, IN THE AGGREGATE FOR ALL CLAIMS, AN AMOUNT THAT IS THE LESSER OF (A) FIVE TIMES THE MOST RECENT MONTHLY OR YEARLY FEE THAT YOU PAID FOR A PREMIUM SERVICE, IF ANY, OR (B) US $1000.

THIS LIMITATION OF LIABILITY IS PART OF THE AGREEMENT BETWEEN YOU AND MEDBOT AND SHALL APPLY TO ALL CLAIMS OF LIABILITY (E.G. WARRANTY, TORT, NEGLIGENCE, CONTRACT, LAW) AND EVEN IF MEDBOT OR ITS AFFILIATES HAS BEEN TOLD OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF THESE REMEDIES FAIL THEIR ESSENTIAL PURPOSE.

SOME LAWS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY, SO THESE LIMITS MAY NOT APPLY TO YOU.

5. Termination
Users and MedBot may annul the contract at any time as long as both parties are informed about it. Consequent to termination, users are not allowed to access the platform any longer as well as its features. The following will still remain prevalent:
  • Whoever has visited or used our platform will have the right to further distribute content and information users shared through the Service to the degree copied or distributed prior to termination;
  • Pending financial transactions between parties will still be pending.


6. Governing Law and Dispute Resolution
Users and MedBot agree that the laws of Singapore, excluding conflict of laws rules, shall exclusively govern any dispute relating to this Contract and/or the Services. Users and MedBot agree that claims and disputes can be litigated only in Singapore and we each agree to personal jurisdiction of the courts located in Singapore.

7. General Terms
If a court with authority over this Contract finds any part of it inadequate, both parties must agree that the court should modify the terms to make the ordeal copacetic while still instilling its intent with an agreeable format for both parties. If the court cannot do that, both parties must agree to ask the court to remove any unenforceable ordeal and still enforce the rest of this Contract.

As long as it is lawfully permitted, the English language version of this Contract is binding and any translated versions of this contract are considered as a convenience. This Contract (including additional terms that may be provided by us when users engage with a feature of the services) is the only contract agreement between MedBot and its users when it comes to the services and access to the platform. This Contract disregards any prior agreements about the services and overrules all previous agreements made regarding the services.

If we don’t act to enforce a breach of this Contract, that does not mean that MedBot has waived its right to enforce this Contract. A user may not assign or transfer this Contract (or their membership or use of services) to anyone without our consent. Users must agree that MedBot may assign this Contract to its affiliates or anyone that purchases it without the need for their approval. There are no third-party assignees to this Contract.

8. MedBot “Dos” and “Don’ts”
8.1. Dos
MedBot is a community of professionals. This list of “Dos and Don’ts” limit what users can and cannot do on our services.

Users agree that they will:
  • Follow and not break any of the laws in the contract, including and without drawback, privacy law, anti-spam law, export control law, tax law, and regulatory requirements;
  • Provide accurate information to us and keep it updated;
  • Use their real name/company name on your profile; and
  • Use the features without breach of the Contract’s rules.
8.2. Don’ts
Users agree that they will not:
  • Use the platform with incorrect personal information, misrepresent their identity, create a profile for an person that has no affiliation to them or their company, or use or attempt to access another user’s account;
  • Develop, support or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins and add-ons, or any other technology) to scrape the Services or otherwise copy profiles and other data from the Services;
  • Override any security feature or bypass or circumvent any access controls or use limits of the platform (such as caps on keyword searches or profile views);
  • Copy, use, disclose or distribute any information obtained from the features, whether directly or through third parties (such as search engines), without the consent of MedBot;
  • Disclose information that you do not have the consent to disclose (such as confidential information of others (including your employer));
  • Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets, or other proprietary rights. For example, dissemination of other users without their approval(except through the available sharing functionality), which they are allowed to give by posting under a Creative Commons license;
  • Violate the intellectual property or other rights of LinkedIn, including, without limitation, (i) copying or distributing our learning videos or other materials or (ii) copying or distributing our technology, unless it is released as a free to use source code or is within the boundaries of the source code’s ; (iii) using the word “MedBot” or our logos in any business name, email, or URL;
  • Post anything that contains software viruses, worms, or any other harmful code;
  • Use of any methods in order to obtain the source code for the platform or any related technology that is not open source;
  • Imply or state that you are affiliated with or endorsed by MedBot without our express consent (e.g., representing yourself as an accredited MedBot trainer);
  • Rent, lease, loan, trade, sell/re-sell or otherwise monetize the Services or related data or access to the same, without MedBot’s consent;
  • Deep-link to our Services for any purpose other than to promote your profile or a Group on our Services, without MedBot’s consent;
  • Deployment of bots in order to use our features, add or obtaining contacts, sending or redirecting of messages;
  • Monitor the features’ availability, performance or functionality for any competitive purpose;
  • Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the features;
  • Overlay or otherwise modify the features or their appearance (such as by inserting elements into the features or removing, covering, or preventing advertisements from doing what they are made to do included on the features);
  • Interfere with the operation of, or place an unreasonable load on, the features (e.g., spam, denial of service attack, viruses, gaming algorithms); and/or
  • Violate the Professional Community Policies or any additional terms concerning a specific feature that are provided when you sign up for or start using such feature.
